Terms & Conditions

1. Introduction:

Welcome to Kitchen Copilot, a mobile application and website (collectively, the “Service”) referred to hereafter as “Kitchen Copilot”, “Kco” “we” or “us,” owned and operated by Kitchen Copilot Inc. We supply content, products and services listed on www.kco.ai (the “Website”) or through our mobile application (the “App”) to promote engagement by household members in meal planning, preparation, shopping list creation and to provide in-home culinary training for the next generation while fostering community from the shared experiences of our users.  These Terms and Conditions of Service (the “Terms”) govern your access to and use of the Kitchen Copilot Service. For purposes of these Terms, “you” and “your” means you as the user of the Service.

2. Acceptance of Terms

By accepting the Terms, you confirm that you can form a binding contract with Kitchen Copilot and that you agree to be bound by these Terms and by all applicable laws, rules and regulations, by our Privacy Policy, by our Community Guidelines and by any additional Terms and Conditions that are referenced herein or that otherwise may apply to specific sections of Kitchen Copilot or the entire Service. Note that accessing or using the Service or any part of it will be treated as acceptance of these Terms. Access to certain features of Kitchen Copilot may be subject to age restrictions and not available to all users. Minors under age 18 require the consent of a parent or legal guardian to use the Service. If you do not agree to these Terms, you should not use the Service.  You may also be asked to click “I accept” prior to you or a minor for whom you have legal responsibility using the Service. If you do not click “I accept” on your behalf, or on behalf of the minor, you or said minor may not be able to gain access.  Please take time to read these Terms carefully.

3. Changes to Terms

We reserve the right, at our discretion, to change, modify, add, or remove portions of these Terms at any time to reflect changes to Kitchen Copilot that may impact our legal responsibilities or redefine the relationship between you and us. Amended Terms will be posted on the Kitchen Copilot website at www.kco.ai or within the App. Please check these Terms periodically for changes. Your continued use of Kitchen Copilot after the posting of changes constitutes your binding acceptance of such changes.

4. Service Use and Restrictions

Kitchen Copilot is intended for personal, non-commercial use. You may not use the Service for any illegal or unauthorized purpose. You agree to comply with all laws, rules, and regulations applicable to your use of the Service. You may not

  • use Kitchen Copilot in any manner that could damage, disable, overburden, or impair our servers or networks, or interfere with any other party’s use and enjoyment of the Service. 

  • attempt to gain unauthorized access to any services, user accounts, computer systems, or networks through hacking, password mining, or any other means.

  • use Kitchen Copilot without our express written consent, for any commercial or unauthorized purpose, including communicating or facilitating any commercial advertisement or solicitation or spamming.

  • incorporate Kitchen Copilot or any portion thereof into any other program or service. In such case, we reserve the right to refuse service, terminate accounts or limit access to the Service in our sole discretion.

  • impersonate any person or entity, or falsely state or otherwise misrepresent you or your affiliation with any person or entity, including giving the impression that any content you upload, post, transmit, distribute or otherwise make available emanates from the Service.

  • intimidate or harass another, or promote sexually explicit material, violence or discrimination based on race, sex, religion, nationality, disability, or age.

  • use or attempt to use another’s account, service or system without authorization from Kitchen Copilot, or create a false identity on the Service.

  • use Kitchen Copilot in a manner that may create a conflict of interest or undermine the purposes of the Service, such as trading reviews with other users or writing or soliciting fake reviews.

  • use Kitchen Copilot to upload, transmit, distribute, store or otherwise make available in any way 

    • any unsolicited or unauthorized advertising, solicitations, promotional materials, “junk mail,” “spam,” “chain letters,” “pyramid schemes,” or any other prohibited form of solicitation.

    • any private information of any third party, including addresses, phone numbers, email addresses, number and feature in the personal identity document (e.g., National Insurance numbers, passport numbers) or credit card numbers.

    • any material which does or may infringe any copyright, trademark or other intellectual property or privacy rights of any other person.

    • any material which is defamatory of any person, obscene, offensive, pornographic, hateful or inflammatory.

    • any material that would constitute, encourage or provide instructions for a criminal offense, dangerous activities or self-harm.

    • any material that is deliberately designed to provoke or antagonize people, especially trolling and bullying, or is intended to harass, harm, hurt, scare, distress, embarrass or upset people.

    • any material that contains a threat of any kind, including threats of physical violence.

    • any material that is racist or discriminatory, including discrimination on the basis of someone’s race, religion, age, gender or disability.

    • any answers, responses, comments, opinions, analysis or recommendations that you are not properly licensed or otherwise qualified to provide; or

    • material that, in the sole judgment of Kitchen Copilot, is objectionable or which restricts or inhibits any other person from using the Service, or which may expose Kitchen Copilot or its users to any harm or liability of any type.

In addition to the above, your access to and use of the Service must, at all times, be compliant with our Community Guidelines.

5. Use of  Kitchen Copilot by Minors

You must be 18 years of age, or the age of majority in your state or country, to sign up as a registered user of Kitchen Copilot. Minors below age 18 require the consent of a parent or legal guardian to use the Service. Registrations made under certain Community offerings such as schools, cooking clubs, churches etc. where specified in applicable contracts between Kitchen Copilot and the Community may include additional terms by the Communities around usage to supplement these Terms and Conditions. In such event, these Community terms and conditions shall also apply to your use of the Service.  In the event of any conflict with such additional terms and these Terms, the additional terms shall prevail.

6. Intellectual Property Rights

All content included on the Service, such as text, graphics, logos, images, as well as the compilation thereof, and any software used on the Service, is the property of Kitchen Copilot Inc. or its suppliers and protected by copyright and intellectual property laws. You may not use such content without our prior written permission.

7. User Contributions

The Service may allow you to post or upload user-generated content, such as comments, photos, messages, and other materials. You retain all rights in, and are solely responsible for, the user content you post to the Service. However, by posting content, you grant us a non-exclusive, royalty-free, perpetual, transferable, and sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display such content throughout the world in any media.

8. Account Registration and Security

You may be required to create an account and specify a password to use certain features on the Service. You agree to provide, maintain, and update true, accurate, current, and complete information about yourself as prompted by the registration processes. You are responsible for maintaining the confidentiality of your account password and for all activities that occur under your account. Our Privacy Policy outlined on our website and App sets forth the basis on which any personal data we collect from you, or that you provide to us, in connection with the Service will be processed by us. Please read our Privacy Policy carefully to understand our practices regarding your personal data and how we will collect, use and disclose your personal data.

9. Termination

We reserve the right to disable your user account and terminate your access to the Service at any time, without cause or notice if in our discretion you have failed to comply with any of the provisions of these Terms, or if activities occur on your account which, in our sole discretion, would or might cause damage to or impair the Service or infringe or violate any third-party rights, or violate any applicable laws or regulations. We may terminate your access to the Service at any time, without cause or notice, which may result in the forfeiture and destruction of all information associated with your account.

10. Disclaimers

While nothing in these terms shall affect any statutory rights that you cannot contractually agree to alter or waive and are legally entitled to as a consumer, the Service and all materials, information, software, products and services included in or available through the Service are provided “as is” and “as available” for your use. We disclaim all warranties of any kind, whether express or implied. In particular we do not represent or warrant to you that:

  • Your use of the Service will meet your requirements.

  • Your use of the Service will be uninterrupted, timely, secure or free from error.

  • Any information obtained by you as a result of your use of the Service will be accurate or reliable, and

  • defects in the operation or functionality of any software provided to you as part of the Service will be corrected.

No conditions, warranties or other terms (including any implied terms as to satisfactory quality, fitness for purpose or conformance with description) apply to the Service except to the extent that they are expressly set out in the Terms. We may change, suspend, withdraw or restrict the availability of all or any part of the Service for business and operational reasons at any time without notice.

11. Limitation of Liability & Indemnity

While nothing in these Terms shall exclude or limit our liability for losses which may not be lawfully excluded or limited by applicable law, we shall not be liable to you for

  • any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service.

  • Any loss or damage which may be incurred by you as a result of

    • any reliance placed by you on the completeness, accuracy or existence of any advertising, or as a result of any relationship or transaction between you and any advertiser or sponsor whose advertising appears on the Service.

    • any changes which we may make to the Service, or any permanent or temporary cessation in the provision of the services (or any features within the Service.)

    • The deletion of, corruption of, or failure to store, any content and other communications data maintained or transmitted by or through your use of the Service.

    • your failure to provide us with accurate account information; or

    • your failure to keep your password or account details secure and confidential.

We only provide the Service for private use. You agree not to use the Service for any commercial or business purposes, and we have no liability to you for any loss of profit, loss of business, loss of goodwill or business reputation, business interruption, or loss of business opportunity.  

12. Indemnity

You agree to defend, indemnify, and hold harmless the Service, its parents, subsidiaries, and affiliates, and each of their respective officers, directors, employees, agents and advisors from any and all claims, liabilities, costs, and expenses, including, but not limited to, attorneys’ fees and expenses, arising out of a breach by you or any user of your account of these Terms or arising out of a breach of your obligations, representation and warranties under these Terms.

To the fullest extent permitted by law, any dispute you have with any third party arising out of your use of the Service, including, by way of example, and not limitation, any carrier, copyright owner or other user, is directly between you and such third party, and you irrevocably release us and our affiliates from any and all claims, demands and damages (actual and consequential) of every kind and nature, known and unknown, arising out of or in any way connected with such disputes.

13. Governing Law

Except to the extent they are preempted by U.S. federal law, the laws of North Carolina, other than its conflict-of-laws principles, govern these Terms and any disputes arising out of or relating to these Terms or their subject matter, including tort claims. If any provision of these Terms is found unenforceable, then that provision will be severed from these Terms and not affect the validity and enforceability of any remaining provisions.
